Brandon Lutnick's Ownership and Transactions in XBP Global Holdings, Inc.

On October 6, 2025, Brandon Lutnick, through trusts for which he is trustee with decision-making control, completed the purchase of all voting shares of CF Group Management, Inc. (CFGM) from Howard W. Lutnick. CFGM is the managing general partner of Cantor Fitzgerald, L.P. (CFLP), which is the sole member of CFAC Holdings VIII, LLC (CFAC). CFAC directly owns 6,064,404 shares of common stock and 385,000 shares of common stock underlying warrants exercisable within 60 days. Following this transaction, Brandon Lutnick may be deemed to have beneficial ownership of the shares held by CFAC. The aggregate purchase price for the voting shares of CFGM was $200,000. Brandon Lutnick disclaims beneficial ownership of all securities held by CFAC in excess of his pecuniary interest, if any.
