Avenue Capital Group's Significant Stake in XBP Global Holdings

Avenue Capital Group, through various investment funds and entities, has acquired a significant stake in XBP Global Holdings, Inc. following a restructuring plan. The Reporting Persons, including Avenue RP Opportunities Fund, L.P., Avenue Global Dislocation Opportunities Fund, L.P., and Avenue Global Opportunities Master Fund LP, collectively hold 10.30% of the common stock of XBP Global Holdings. This stake was acquired through the exchange of debt securities and new money loans provided during the company's Chapter 11 bankruptcy proceedings. The restructuring plan also granted the Reporting Persons the right to appoint four directors to the board of XBP Global Holdings. Additionally, the Reporting Persons entered into a Registration Rights Agreement with the Issuer, allowing them to register and sell their shares under certain conditions. The Reporting Persons acquired these securities for investment purposes and may engage in discussions with management and other shareholders regarding the company's business and future plans.
