Power of Attorney for Janet H. Kennedy

Janet H. Kennedy, a director of TriNet Group, Inc., has executed a Power of Attorney appointing Gordon Klepper, Sidney Majalya, Melissa Shimizu, and Sheryl Southwick as her attorneys-in-fact. These attorneys are authorized to prepare, execute, and submit Forms 3, 4, and 5 to the SEC on her behalf, as required by Section 16(a) of the Securities Exchange Act of 1934. They are also empowered to perform any necessary actions related to these filings, including obtaining EDGAR codes and passwords. Additionally, Ann Ngay is appointed as an account administrator to manage Kennedy's EDGAR account. The Power of Attorney remains in effect until Kennedy is no longer required to file these forms, unless revoked earlier.
