PT Telekomunikasi Indonesia Tbk Signs Conditional Spin-Off Agreement with PT Telkom Infrastruktur Indonesia

PT Telekomunikasi Indonesia Tbk (Telkom) has signed a Conditional Spin-Off Agreement with PT Telkom Infrastruktur Indonesia (TIF) on October 20, 2025. The agreement is part of Telkom's corporate restructuring and business transformation plan, involving the partial spin-off of its Wholesale Fiber Connectivity business and assets. The transaction is valued at IDR 35,787,258,000,000. The spin-off aims to enable more focused business development, create added value, increase efficiency, and optimize the utilization of fiber optic network assets. This move is expected to strengthen Telkom's position as a leading connectivity infrastructure provider in Indonesia and support the national agenda for digital equality, fixed broadband penetration, and reliable connectivity across all regions. Post-transaction, Telkom will hold 99.9999997% of TIF. The transaction is considered material and an affiliated party transaction but does not involve any conflicts of interest.
