PT Telekomunikasi Indonesia Tbk Announces Partial Spin-Off of Wholesale Fiber Connectivity Business

PT Telekomunikasi Indonesia Tbk (Telkom) has announced a partial spin-off of its Wholesale Fiber Connectivity Business and Assets to its subsidiary, PT Telkom Infrastruktur Indonesia (TIF). The spin-off involves transferring assets and liabilities valued at Rp35.787 trillion to TIF, which is 99.9% owned by Telkom. The transaction aims to enhance business focus, operational efficiency, and value creation. The spin-off is part of Telkom's strategy to strengthen its digital infrastructure and support Indonesia's national agenda for digital equality. The transaction is classified as a Material Transaction and an Affiliated Transaction under Indonesian regulations. Telkom will hold a General Meeting of Shareholders to seek approval for the spin-off plan. Creditors have until November 4, 2025, to raise objections.
