Vann A. Avedisian Disposes of Potbelly Corp Shares and Warrants

Vann A. Avedisian, a director of Potbelly Corp, disposed of a significant number of shares and warrants in the company on October 23, 2025. The transactions were part of the merger agreement between Potbelly Corp, RaceTrac, Inc., and Hero Sub Inc. Avedisian disposed of 96,930 shares of common stock directly, 513,163 shares held by the Vann A. Avedisian Trust, and 101,585 shares held by Intrinsic Investment Holdings, LLC. Additionally, he disposed of 40,710 warrants to purchase common stock. All transactions were executed at a price of $17.12 per share, which was the per share price agreed upon in the merger agreement. Following these transactions, Avedisian no longer holds any shares or warrants in Potbelly Corp. The merger resulted in Potbelly Corp becoming a wholly owned subsidiary of RaceTrac, Inc.
