Amendment No. 21 to Schedule 13D for OceanPal Inc.

This Amendment No. 21 to the Schedule 13D for OceanPal Inc. reports a decrease in the percentage ownership of Shares that the Reporting Persons, Ioannis Zafirakis and Abra Marinvest Inc., may be deemed to beneficially own. The decrease is due to changes in the conversion price of the Series C and Series D Preferred Stock, which can be converted into Shares of OceanPal Inc. at the Reporting Persons' option, subject to certain ownership restrictions. As of September 30, 2025, the Reporting Persons beneficially own 3,335,908 Shares, representing 33.25% of the Issuer's issued and outstanding Shares. The Reporting Persons acquired the Shares for investment purposes and may acquire or dispose of additional Shares based on market conditions and other factors.
