Ondas Holdings Inc. Acquires 70% Stake in 4M Defense Ltd.

On October 24, 2025, Ondas Holdings Inc. entered into a Share Purchase Agreement to acquire 70% of the issued and outstanding share capital of Chirokka Holding Ltd., which holds 100% of the share capital of 4M Defense Ltd., an Israeli company specializing in advanced demining capabilities. The acquisition involves a payment of $2,400,000 in cash and 801,068 shares of Ondas' common stock. The agreement includes a lock-up period for 480,641 shares of common stock held by Itzik Malka, one of the sellers, restricting their sale for 12 months post-closing. Additionally, the agreement grants Ondas a call option to acquire the remaining 30% of Chirokka Holding Ltd. from Nir Cohen, another seller, between January 1, 2026, and December 31, 2027. The acquisition is expected to close in the fourth quarter of 2025.
