Change in Controlling Shareholder of Nature Wood Group Limited

Nature Wood Group Limited (Nasdaq: NWGL) announced a change in its controlling shareholder following the completion of a private share transfer transaction. On October 22, 2025, an aggregate of 114,974,179 ordinary shares, representing approximately 86.82% of the Company’s issued and outstanding ordinary shares, were transferred by certain shareholders to TUTU Business Services Limited and other purchasers. The transaction was effected by private sale of existing ordinary shares, and the Company did not issue any new shares. Following the completion of the share transfer, TUTU Business Services Limited became the controlling shareholder of the Company.
