Appointment of Richard Silfen to the Board of Directors of Innovative Solutions and Support, Inc.

On October 28, 2025, Innovative Solutions and Support, Inc. (the 'Company') announced the appointment of Richard Silfen as an independent director to its Board of Directors, effective immediately. The Board was expanded to seven members with this appointment. Mr. Silfen will serve until the Company’s next annual meeting of shareholders or until his successor is duly elected and qualified. Mr. Silfen is currently the General Counsel of Hildred Capital Management, LLC, a healthcare-focused private equity firm. Prior to joining Hildred in June 2025, he was a partner and Co-Chair of Mergers & Acquisitions at Duane Morris LLP, where he led numerous acquisitions, divestitures, and capital formation transactions. The Board determined that Mr. Silfen qualifies as an independent director under applicable rules. There are no family relationships or material interests between Mr. Silfen and any director or executive officer of the Company. Mr. Silfen will participate in the non-employee director compensation arrangements established by the Company.
