IAMGOLD Corporation Acquires Mines D'Or Orbec Inc.

IAMGOLD Corporation has signed a definitive arrangement agreement to acquire all issued and outstanding common shares of Mines D'Or Orbec Inc. (Orbec) through a court-approved plan of arrangement. The transaction, valued at C$17.2 million, includes a cash and shares consideration of C$0.125 per Orbec Share, representing a 25% premium to Orbec's closing price on October 17, 2025. The acquisition will consolidate IAMGOLD's land position in the Chibougamau district of Quebec, adding the highly prospective Muus Project to its portfolio. The Muus Project, located adjacent to IAMGOLD's Nelligan and Monster Lake Projects, covers 24,979 hectares and is at the intersection of two mineralized structural breaks. The transaction is expected to close in the fourth quarter of 2025, subject to regulatory and shareholder approvals.
