Limited Power of Attorney for Section 16(a) Reporting

John Timothy Romer, a director of Granite Construction Inc., has executed a Limited Power of Attorney (POA) appointing Kyle T. Larkin, M. Craig Hall, Betty Kwong, and Troy Erickson as his attorneys-in-fact. This POA authorizes them to prepare, execute, and file reports required under Section 16(a) of the Securities Exchange Act of 1934 on his behalf. The attorneys-in-fact are also empowered to obtain information regarding transactions in the company's equity securities from third parties.
