James Shen's Limited Power of Attorney for GitLab Inc.

James Shen, the Interim CFO of GitLab Inc., has executed a Limited Power of Attorney appointing Robin Schulman and Rashmi Chachra as his Attorneys-in-Fact. This power of attorney authorizes them to execute and file Forms 3, 4, and 5, and any amendments thereto, on behalf of Shen in accordance with Section 16(a) of the Securities Exchange Act of 1934. The Attorneys-in-Fact are also empowered to perform any necessary acts related to these filings, including filing with the SEC and any stock exchange. The power of attorney remains in effect until Shen is no longer required to file these forms or until it is revoked in writing. Shen has agreed to indemnify and hold harmless the Company and the Attorneys-in-Fact against any losses arising from the information provided by him.
