Embraer Aircraft Holding, Inc. (EAH) has completed the acquisition of 4,123,711 shares of common stock in Eve Holding, Inc. at a price of $4.85 per share, totaling $19,999,998.35. This transaction, which was consummated on September 30, 2025, was part of a previously reported subscription agreement. EAH, controlled by Embraer S.A., now holds 250,523,300 shares, representing 71.9% of the outstanding common stock of Eve Holding, Inc. The shares acquired do not include those issuable upon the exercise of warrants held by EAH, as they are not exercisable within 60 days.
