Diversified Energy Company PLC Proposes Reorganization and New US Holding Company
Diversified Energy Company PLC has filed a Form 6-K with the SEC, proposing a reorganization that will establish a new US holding company, Diversified Energy Company (NewCo), as the parent company of the Group. The reorganization will be implemented through a UK Court-sanctioned Scheme of Arrangement. If approved, shareholders will receive New Shares in NewCo on a one-for-one basis in exchange for their existing shares. The primary listing of NewCo will be on the New York Stock Exchange, with a secondary listing on the London Stock Exchange. The Board believes this move aligns with the Group's US-focused business and will provide access to deeper US capital markets, increased liquidity, and enhanced exposure to US investors. The Scheme is subject to shareholder approval at meetings scheduled for November 10, 2025.
