Power of Attorney for David S. Runk

David S. Runk, Executive VP and Strategic Advisor of Citizens & Northern Corp, has granted a power of attorney to Melinda S. Kilburn, Elizabeth A. Pivirotto, Amy T. Garraty, Mark A. Hughes, or Mark R. Long. This power of attorney allows them to sign and file any necessary documents with the Securities and Exchange Commission (SEC) on his behalf, specifically related to the sale of securities under Rule 144 of the Securities Act of 1933 and filings under Section 16 of the Securities Exchange Act of 1934. The power of attorney will remain in effect until Runk is no longer required to make such filings, unless revoked earlier in writing.
