Bitfarms Ltd. Closes $50 Million Additional Draw and Issues Warrants

On October 24, 2025, Bitfarms Ltd. closed an additional draw of $50 million pursuant to Amendment No. 1 to the Loan and Security Agreement with Macquarie Equipment Capital, Inc. and certain subsidiaries. In connection with the closing, Bitfarms issued warrants to Macquarie exercisable into 2,197,127 common shares at a strike price of $5.69 per share, representing a 25% premium over the trailing five-day volume weighted average price prior to the closing date. The warrants expire on October 24, 2030.
