Cartech Holding Acquires 43% Stake in Autohome Inc.

Cartech Holding Company, along with its affiliates, has acquired a 43% stake in Autohome Inc. through the purchase of 200,884,012 ordinary shares for approximately RMB13.1 billion. The transaction was facilitated by a term loan facility agreement with several banks. Cartech Holding also entered into a Put and Call Option Agreement with Yun Chen Capital, granting certain rights over the remaining shares held by Yun Chen Capital. Additionally, Cartech Holding secured investor rights, including registration rights, from Autohome Inc. The acquisition is part of Cartech Holding's investment strategy, and they may engage in further transactions or communications with Autohome's management and board.
