To Ma Acquires 100% Control of SAIHEAT Ltd via Private Share Transfer

On June 5, 2026, To Ma filed a Schedule 13D/A reporting a significant change in control of SAIHEAT Ltd (SAIH). Through Longwin Global Limited, To Ma acquired 100% of the issued share capital of Energy Science Artist Holding Limited from Peng Zhang for a consideration of $1,000,000. As a result of this transaction, To Ma became the sole controlling shareholder of SAIHEAT Ltd. The reporting persons, which include Energy Science, Longwin Global, and To Ma, now beneficially own 642,043 Class B ordinary shares, representing 100% of that class. This ownership translates to approximately 84.36% of the total voting power of the Issuer. The transaction was a private share transfer and resulted in To Ma assuming full control over the holding companies that own the underlying securities.
