Deng Shufen and Group Report 53.5% Stake in Reed's, Inc. and Disclose Share Pledges

Deng Shufen, along with Era Regenerative Medicine Ltd (ERM), D&D Source of Life Holding Ltd. (D&D), and Dai Siqi, filed an amended Schedule 13D reporting an aggregate beneficial ownership of 6,363,069 shares of Reed's, Inc. (REED), representing 53.5% of the company. This filing marks the formation of a reporting group following Deng Shufen's appointment as an authorized signatory for D&D on May 20, 2026. The holdings include 5,956,737 shares held directly by D&D, 367,647 shares held by ERM, and 38,685 shares from exercisable warrants. Notably, D&D entered into two pledge agreements on May 27, 2026, pledging a total of 5,950,000 shares as collateral to secure third-party obligations unrelated to the Issuer. Despite these pledges, D&D retains voting and dispositive power over the shares unless a default occurs. The reporting group also holds 1,250,000 additional warrant shares that are currently unexercisable due to a 4.99% beneficial ownership blocker. The group's significant stake resulted from various private placements, public offerings, and secondary purchases conducted throughout 2024 and 2025.
