Amendment to Schedule 13D Filing for Docebo Inc.

This filing is an amendment to a previously filed Schedule 13D by Intercap Inc. and Jason Chapnik, collectively referred to as the "Reporting Persons." The amendment supplements information regarding transactions and beneficial ownership of Docebo Inc. common shares. On March 11, 2026, it was announced that Intercap was expected to acquire 372,612 Docebo Inc. common shares through a substantial issuer bid, for an aggregate purchase price of US$7,601,284.80. The bid expired on March 10, 2026. As of March 12, 2026, Jason Chapnik beneficially owns 15,945,759 shares, representing 61.7% of the class, including 32,407 shares issuable upon conversion of vested deferred share units. Intercap Inc. beneficially owns 15,913,352 shares, representing 61.6% of the class. The Reporting Persons have entered into a joint filing agreement.
