Viatris Inc. Completes Public Offering of Senior Notes
Viatris Inc. announced the completion of a public offering of β¬650,000,000 aggregate principal amount of its 4.250% Senior Notes due 2033. The notes are senior unsecured obligations, guaranteed by Mylan Inc., Mylan II B.V., and Utah Acquisition Sub Inc. The proceeds will be used to repay borrowings under its revolving credit facility related to the maturity of $1.675 billion of 3.950% Senior Notes due 2026, with any remainder used for general corporate purposes. The offering was registered on Form S-3. The notes mature on June 17, 2033, with interest payable annually starting June 17, 2027. Viatris may redeem the notes under certain conditions, including a change of control event, which would trigger an offer to purchase the notes at 101% of the principal amount. The indenture includes covenants restricting certain transactions and events of default.
