Vale S.A. Share Cancellation Proposal

The Fiscal Council of Vale S.A. has examined and supports the proposal to cancel 99,847,816 common shares held in treasury. This cancellation, representing 36.9% of treasury shares as of February 19, 2026, will reduce the number of outstanding common shares to 4,439,159,752 and 12 special class preferred shares, all without par value. An amendment to Article 5 of Vale's Bylaws will be required to reflect these changes at the upcoming General Meeting. The Fiscal Council has issued a positive opinion, deeming the proposal ready for consideration by the shareholders.
