Employment Agreement with Alison Hoffman

Starz Entertainment Corp. announced a new employment agreement for Alison Hoffman, President of Starz Networks, effective August 6, 2026, and running through December 31, 2029. Hoffman's annual base salary will be $1,485,000, with a target annual bonus of 150% of her base salary, subject to performance criteria. The agreement also includes provisions for annual equity awards with a target value of 100% of her base salary, vesting over three years. In case of a qualifying termination, Hoffman is eligible for severance pay, including up to 18 months of base salary and continued COBRA premiums. Enhanced severance benefits are provided if a termination occurs within a specified period around a change in control. The agreement also outlines restrictive covenants, including confidentiality and non-solicitation clauses. This new agreement supersedes her previous employment agreement from February 27, 2023.
