Form 8-K Filing: Changes in Registrant’s Certifying Accountant

Stem, Inc. has announced a change in its independent registered public accounting firm. Effective March 12, 2026, the Audit Committee of the Board of Directors approved the dismissal of Deloitte & Touche LLP. The company notified Deloitte on March 13, 2026. There were no disagreements or reportable events with Deloitte during the fiscal years ended December 31, 2024, and December 31, 2025, nor in the subsequent period through March 12, 2026. Deloitte has provided a letter to the SEC concurring with Stem, Inc.’s statements regarding their dismissal. Concurrently, on March 12, 2026, the Audit Committee approved the engagement of RSM US LLP as the new independent registered public accounting firm. RSM will begin with the review of financial statements for the quarter ending March 31, 2026, and will conduct the audit for the fiscal year ending December 31, 2026. Stem, Inc. did not consult with RSM regarding any matters prior to their engagement.
