Officer and Director Change

Clara Nagy McBane resigned from the Board of Directors effective September 10, 2026, contingent upon agreement on equity awards and continued indemnification and D&O insurance coverage. Benjamin Rosenzweig was appointed as a Class B director to fill the vacancy, effective upon Ms. McBane's resignation. Mr. Rosenzweig is employed by a significant shareholder's affiliate and will be compensated according to the company's non-employee director compensation policy. He will also enter into an indemnification agreement with the Company, similar to other directors, to cover expenses arising from his service.
