Companhia Siderúrgica Nacional (CSN) announced the final results of the private exchange offer for its subsidiary CSN Inova Ventures’ 6.750% Senior Notes due 2028. The offer, which expired on August 10, 2026, saw aggregate principal amount of US$1,007,324,000 of the 2028 Notes validly tendered, representing 77.49% of the outstanding notes. CSN expects to accept all validly tendered notes for exchange. Eligible holders who tendered their notes will receive a combination of cash and new 11.000% Senior Notes due 2030. The settlement date is expected to be August 12, 2026. CSN expects to issue approximately US$698.3 million in new notes and pay approximately US$255.7 million in cash, excluding accrued interest. The company also announced that the minimum participation condition was satisfied and the requisite consents were received to amend the indenture governing the 2028 Notes. The exchange offer was made to eligible holders in the U.S. and outside the U.S. in accordance with applicable regulations.
