Riskified Ltd. Share Repurchase Agreement

Riskified Ltd. has entered into a share repurchase agreement with funds affiliated with Pitango Venture Capital to repurchase 1,000,000 Class A ordinary shares for approximately $4.3 million, at a price of $4.26 per share. This transaction is part of the Company's existing repurchase authorization and is subject to Israeli regulatory approval by April 30, 2026. Notably, a member of Riskified's Board of Directors is a Managing Partner at Pitango. The repurchase was approved by the Company's Audit Committee and Board of Directors.
