Priority Technology Holdings, Inc. Announces Auditor Change

Priority Technology Holdings, Inc. (the Company) announced on March 11, 2026, the dismissal of Ernst & Young LLP (EY) as its independent registered public accounting firm. The dismissal was approved by the Company's Audit Committee. EY's reports on the Company's financial statements for the fiscal years ended December 31, 2025, and 2024, did not contain any adverse opinions, disclaimers of opinion, or qualifications. There were no disagreements on accounting principles or practices, financial statement disclosures, or auditing procedures between the Company and EY during the fiscal years ended December 31, 2025 and 2024, and the subsequent interim period through March 11, 2026. However, the Company reported material weaknesses in its internal control over financial reporting related to automated controls for data transformation and ingestion, which were subsequently remediated. EY has been authorized to respond to inquiries from the successor auditor, KPMG LLP. Concurrently, on March 11, 2026, the Audit Committee engaged KPMG LLP as the Company's new independent registered public accounting firm. The Company did not consult with KPMG on any significant accounting or auditing matters prior to their engagement.
