Officer and Director Change

John P. Schauerman will retire from Primoris Services Corporation's Board of Directors at the 2026 Annual Meeting of Stockholders on April 30, 2026. His retirement is voluntary and not due to any disagreement with the company. Mr. Schauerman has served the company in various capacities since 2016, including as Chief Financial Officer from February 2008 to February 2009. The company will not seek a replacement for his position, and the Board size will be reduced to eight members. The company expressed gratitude for Mr. Schauerman's service and contributions.
