Natural Gas Services Group, Inc. Acquires Flatrock Compression Holdings LLC

Natural Gas Services Group, Inc. has acquired 100% of the membership interests of Flatrock Compression Holdings LLC. The transaction was valued at approximately $110 million in cash, 241,803 shares of common stock, and contingent royalty payments. A portion of the cash consideration was placed in escrow to cover post-closing adjustments. The acquisition was financed through an amendment to the company's existing credit facility, increasing its capacity from $400 million to $500 million. This amendment also secured additional commitments from lenders, including Regions Bank. The acquisition is expected to be accretive to earnings per share in the first full year following the closing.
