Amendment to Schedule 13D Filing

This filing is an amendment to a previous Schedule 13D filing by JPMorgan Chase & Co. and DNT Asset Trust concerning Variable Rate Muni Term Preferred Shares of BlackRock MuniHoldings Quality Fund II, Inc. The amendment is necessitated by a reorganization event on February 9, 2026, where DNT Asset Trust exchanged its 780 VRDP Shares of the Issuer for an equal number of Variable Rate Muni Term Preferred Shares of BlackRock MuniHoldings Fund, Inc. (MHD). Consequently, the Reporting Persons no longer own any VRDP Shares of the Issuer or beneficially own more than five percent of the class of securities.
