Form 8-K: Officer Change

On June 18, 2026, Live Oak Bancshares, Inc. announced that J. Wesley Sutherland will cease to be the Chief Accounting Officer of the Company and its subsidiary, Live Oak Banking Company. Effective June 16, 2026, Walter J. Phifer will serve as the interim Principal Accounting Officer. Mr. Phifer, who has been with the Bank since 2015, has been the Chief Financial Officer since January 2024. Mr. Sutherland will remain with the Bank as a Senior Advisor to aid in the transition until his retirement around September 30, 2026.
