Linkage Global Inc. Securities Purchase Agreement

Linkage Global Inc. entered into a Securities Purchase Agreement with two investors to issue and sell up to 5,000,000 Class A ordinary shares at $0.12 per share, for a total of up to $600,000. The private placement offering closed on June 12, 2026. The net proceeds will be used for general corporate purposes. The shares were offered in reliance on Regulation S, as the purchasers are non-U.S. persons. The company is obligated to file a registration statement with the SEC within thirty business days after closing to register the shares.
