Jumia Technologies AG Form 6-K Filing

Jumia Technologies AG entered into a Subscription Agreement with the International Finance Corporation (IFC) for the subscription of 9,057,970 new ordinary bearer shares in the form of American Depositary Shares (ADSs), representing an aggregate investment of approximately US$25 million. Concurrently, Jumia Technologies AG entered into Share Purchase Agreements with Axian and other investors for the purchase of 4,528,983 new ADSs, also for an aggregate investment of approximately US$25 million. These transactions are part of a capital increase, with statutory subscription rights of existing shareholders excluded. The IFC also entered into a Policy Agreement with Jumia Technologies AG, requiring compliance with certain environmental, social, and governance requirements. The total investment from IFC and the Other Investors amounts to approximately US$50 million. Jumia Technologies AG intends to use these proceeds to support its growth, enhance efficiency in its African markets, and strengthen its marketplace and logistics network. The transactions are expected to close in the second half of August 2026, subject to customary closing conditions. The ADSs and underlying shares are offered in reliance on exemptions from U.S. Securities Act of 1933 registration requirements.
