Amendment to Business Combination Agreement

Israel Acquisitions Corp. (the "Company") and Gadfin Ltd. have entered into a third amendment to their business combination agreement (the "Third BCA Amendment"). This amendment, dated March 13, 2026, revises Section 7.1(d) of the original agreement to extend the termination date to April 15, 2026. All other termination rights remain unchanged. The Company and Gadfin previously entered into the business combination agreement on January 26, 2025, with subsequent amendments on July 2, 2025, and December 31, 2025. This extension provides additional time for the parties to consummate the transactions contemplated by the agreement.
