Form 8-K Filing: Officer and Director Changes

ImageneBio, Inc. has announced a mutual separation with its Senior Vice President, Finance & Administration and Principal Accounting Officer, Erin Butler, effective March 20, 2026. Ms. Butler will cease to be the Principal Accounting Officer. The company expects to enter into a separation agreement with Ms. Butler, providing severance benefits as per her existing Severance Rights Agreement. Concurrently, the Board of Directors has appointed Bob Lally, Senior Vice President, Finance & Operations, as the new Principal Accounting Officer, effective the same date. Mr. Lally has extensive experience in finance and operations roles, including previous positions at Ikena Oncology, Inc. and Prevail Therapeutics Inc. His appointment does not involve any new material agreements or discloseable transactions.
