ICON plc Files Form 6-K Announcing Restatement of Financials Due to Revenue Overstatement
ICON plc has announced that its previously issued financial statements for the years ended December 31, 2023 and 2024, as well as interim periods between March 31, 2023, and September 30, 2025, should no longer be relied upon. An investigation by the Audit Committee found that revenue was overstated in 2023 and 2024, with the amounts being less than 2% of the previously announced upper limit. Similar, though less impactful, issues were identified in 2025. Consequently, ICON plans to restate its financial statements for these periods. The company expects to file its Annual Report on Form 20-F for the year ended December 31, 2025, which will include details of material weaknesses and remediation plans. The restatement of interim financial statements will be made through an amendment to a previously filed Form 6-K. ICON has stated that there was no impact on customers, operations, or cash flow. The company anticipates completing the financial statement finalization and external audit process in the coming weeks.
