HNO International, Inc. Enters into Equity Purchase Agreement with Lambda Ventures LLC

HNO International Inc. has entered into an Equity Purchase Agreement with Lambda Ventures LLC, allowing the company to sell up to $30 million of its common stock over 24 months. The company can direct the investor to purchase shares, with purchase prices set at a discount to market value. As consideration, HNO International will issue 500,000 shares initially and additional shares upon reaching certain funding milestones. The company also agreed to cover $10,000 in legal expenses for the investor. Concurrently, a Registration Rights Agreement was signed, requiring HNO International to file a registration statement for the resale of shares within 30 days and have it declared effective within 90 days. The issuance of initial commitment shares is exempt from registration under Section 4(a)(2) of the Securities Act.
