Globavend Holdings Limited Standby Equity Purchase Agreement

Globavend Holdings Limited has entered into a Standby Equity Purchase Agreement (SEPA) with YA II PN, Ltd. for up to $20 million in ordinary shares over 36 months. The investor will purchase shares upon the Company's notice, with pricing based on market volume-weighted average prices, subject to certain conditions and limitations. The Company paid a $35,000 structuring fee and will pay a $200,000 commitment fee. Proceeds will be used as outlined in the Registration Statement. The agreement includes customary representations, warranties, and covenants. The Company has also taken steps to rely on Nasdaq exemptions for foreign private issuers regarding shareholder approval.
