Director Appointment and Board Expansion

Enphase Energy, Inc. announced a change in its board structure effective June 11, 2026. The size of the Board of Directors was increased to eight members with the appointment of Shanker Trivedi to a newly created Class I vacancy. Mr. Trivedi, who previously held senior roles at NVIDIA Corporation, brings over 30 years of experience in enterprise technology and go-to-market execution. He has been appointed to the Audit Committee and will receive a restricted stock unit award valued at approximately $250,000, vesting in installments through May 2027. He will also receive standard director compensation. Mr. Trivedi’s appointment is not based on any arrangements with other individuals, and he has entered into the Company’s standard indemnification agreement.
