Digi Power X Inc. Clarification on US Data Centers Transaction
Digi Power X Inc. has issued a clarification regarding its subsidiary, US Data Centers, Inc. (USDC), emphasizing that USDC's business is solely focused on manufacturing and distributing the ARMS system, a modular AI data center system. Digi Power X confirms that all assets, including data center facilities, GPUs, and related revenues, belong 100% to Digi Power X. USDC has no claim on these assets or revenues. Digi Power X holds a 55% majority equity stake in USDC, while the co-founding management team and seed institutional investors hold the remaining equity. The formation of USDC as an independent subsidiary is a strategic move to facilitate dedicated capitalization without diluting Digi Power X's equity, focus on distinct business capabilities (manufacturing vs. site operations), meet enterprise and government contracting requirements, attract talent, and preserve optionality for future liquidity events. This structure is not expected to impact Digi Power X's current revenue streams, as USDC operates as a separate venture generating revenue from equipment sales. Digi Power X reported $80 million in cash and cash equivalents, zero debt, and owns all four of its data center sites.
