Centessa Shareholders Approve Acquisition by Eli Lilly Subsidiary
On June 12, 2026, Centessa Pharmaceuticals plc announced that its shareholders overwhelmingly approved the acquisition of the company by LDH XV Corporation, a direct wholly owned subsidiary of Eli Lilly and Company. The transaction is being executed via a court-sanctioned scheme of arrangement under the United Kingdom Companies Act 2006. At the Scheme Meeting, approximately 99.98% of the voting shares (126,653,456 shares) were cast in favor of the proposal. Additionally, at a concurrent General Meeting, shareholders authorized the board to take necessary actions to implement the acquisition and approved amendments to the Company Articles.
