KDDI Corporation Acquires 14.9% Strategic Stake in Coincheck Group N.V. (CNCK)
On June 9, 2026, KDDI Corporation, a Japanese telecommunications provider, filed a Schedule 13D reporting a new 14.9% stake in Coincheck Group N.V. (CNCK). KDDI acquired 28,536,516 newly issued ordinary shares for an aggregate consideration of approximately $65.1 million ($2.28 per share) using working capital. The acquisition follows a May 2026 Share Subscription Agreement and is part of a strategic initiative to expand the digital asset market in Japan. Under the terms of the agreement, KDDI has the right to nominate a member to the Issuer's board of directors, expected around September 2026. The shares are subject to a six-month lock-up period. KDDI also entered into an Acknowledgement Agreement with Monex Group, Inc., the controlling shareholder, who agreed to vote in favor of KDDI's board nominee. While KDDI may be deemed to share voting power with Monex for certain purposes, it expressly disclaims the formation of a group. KDDI intends to collaborate with the Issuer's subsidiary, Coincheck, Inc., through business alliances and customer referral programs.
