Mercedes-Benz Reports 8.1% Stake in Factorial Energy Inc. Following Business Combination

On June 12, 2026, Mercedes-Benz Corporate Investments LLC (MBCI) filed a Schedule 13D reporting an 8.1% beneficial ownership stake in Factorial Energy Inc. (ticker: CGCT). The filing follows the June 5, 2026 completion of a business combination between the issuer (formerly Cartesian Growth Corporation III) and Factorial Inc. MBCI acquired 8,669,995 shares of Series A Common Stock through the conversion of previously held Factorial securities, including Series D redeemable preferred stock, warrants, and a secured convertible promissory note. MBCI is a wholly-owned indirect subsidiary of Mercedes-Benz Group AG. In connection with the transaction, Uwe Keller of Mercedes-Benz was elected to the issuer's board.
