Initial Statement of Beneficial Ownership

Lei Zhang, CEO and a 10% owner of Cheche Group Inc. (CCG), has filed an initial statement of beneficial ownership. Zhang directly owns 17,500 Class A Common Stock shares. Additionally, Zhang indirectly owns 18,596,504 Class B Ordinary Shares through Teton Trust. These Class B shares were acquired in October 2024 from Mutong Holding Limited, a company wholly owned by Lei Zhang, for no consideration. The Class B shares are held by Hugou Inc., a British Virgin Islands company wholly owned by EL Capitan Inc., also in the British Virgin Islands. GIL Trust Limited is the sole shareholder of EL Capitan Inc. and acts as trustee for Teton Trust. Lei Zhang is the settlor and investment advisor of Teton Trust, holding sole voting and dispositive power over these shares.
