Termination of Material Definitive Agreement

Beam Global received written notice from PNN Holdings, LP, the landlord, terminating the lease for its headquarters located at 5660 Eastgate Drive, San Diego, California 92121. The lease, originally set to expire on September 30, 2026, will now terminate on July 26, 2026. The termination will not incur material early termination penalties for Beam Global, and the company does not anticipate any significant ongoing obligations post-termination. Beam Global is currently assessing its options for a new headquarters location and does not foresee a material adverse effect on its operations. The company maintains additional facilities in Chicago, Illinois; Belgrade and Kraljevo, Serbia; and a sales and administration office in Abu Dhabi, United Arab Emirates.
