AtlasClear Holdings, Inc. - Amendment to Debenture Agreement

AtlasClear Holdings, Inc. has entered into Amendment No. 1 to its Debenture Agreement with Sixth Borough Capital Fund, LP. This amendment extends the maturity date of the original $500,000 debenture from August 3, 2026, to February 3, 2027. The amendment also modifies the terms regarding accelerated repayments in the event of subsequent financing by a third party, requiring the company to pay 100% of the proceeds from such financing towards the debenture until it is fully repaid. The Holder has waived any defaults related to prior payment failures or non-compliance with the original Section 2.4 of the Debenture.
