Anghami Inc. Enters $20 Million Senior Loan Agreement with UBC Ventures

Anghami Inc. has entered into a senior unsecured loan agreement with UBC Ventures W.L.L., an affiliate of OSN Streaming Limited, for up to $20 million. The loan facility, approved by the company's board of directors, has a maturity date of April 29, 2028. Borrowings will accrue interest at a rate equal to 8% plus six-month Term SOFR, with interest due every six months and the option to capitalize interest. The funds are restricted to general corporate purposes and working capital requirements. The agreement includes provisions for prepayment using asset sale or capital markets proceeds, and contains standard representations, warranties, and information undertakings from Anghami. The loan is governed by English law with exclusive jurisdiction in English courts.
