Form 8-K Filing Regarding Master Services Agreement and Mine Permit Application

American Clean Resources Group, Inc. (ACRG) entered into a Master Services Agreement (MSA) with Sustainable Metal Solutions, LLC (SMS) on March 11, 2026. Under the MSA, ACRG will provide administrative and advisory services to SMS. SMS retains full responsibility for its operations, and ACRG will not have operational control or an ownership interest in SMS. This agreement is partly due to an administrative regulatory review concerning a mine owned by SMS. ACRG previously announced plans to acquire an 80.1% interest in SMS. Separately, an affiliate of SMS, serving as the operator of a mine, is involved in a procedural hearing on March 18, 2026, regarding the classification of an amendment to a Designated Mining Operation (DMO) permit application. This hearing is administrative and does not stem from any enforcement action. ACRG is not the permit holder or operator of the mine and will provide further disclosure if material developments occur.
